T. Cormac McCarthy concentrates his practice in the areas of mergers and acquisitions, corporate governance, private equity and contract drafting and negotiation. Cormac has represented clients of all sizes including start-ups and Fortune 500 companies. Representative experiences include:
- Represented early-stage biotechnology company in a complex, time-sensitive reorganization and multi-million dollar private equity raise. The representation included complex shareholder issues and negotiations with a sophisticated private equity fund.
- Represented local investor in the disposition of his minority interest in materials business. The representation included extensive negotiations to unwind and document the numerous relationships between the parties.
- Represented franchisee in the negotiation and sale of an in-home care franchise. The representation included extensive negotiations with the buyer, the franchisor and creditors of the franchisee. The representation also included the satisfaction of pending litigation and sensitive labor negotiations.
- Represented manufacturer’s representative in the sale of one of its business lines to a competitor. The representation included substantial negotiations regarding the type, amount and valuation of the inventory to be sold.
- Represented common rail carrier in connection with bank financing to be used to acquire additional rail rights. Representation included negotiating complex security interests in rail cars.
- Represented local non-profit corporation in negotiations with event manager for annual high profile public event. Also represented event manager in securing ongoing sponsorship for such event.
Prior to joining Houston Harbaugh, Cormac was a corporate and securities associate with a large firm in Cleveland, Ohio, and then a Vice President and Corporate Counsel with a bank holding company in Detroit, Michigan.
